Terms of Service

Last updated: 14 March 2026. These terms apply to all use of the Struktive platform operated by GeekSpeak Commerce. By accessing or using Struktive, you agree to these terms.

1. The service

Struktive is a data normalisation platform that processes asset inventory files (CSV, Excel) to produce cleaned, classified, and scored output for use in DCIM, EAM, CMMS, and related systems. The platform is operated by GeekSpeak Commerce ("we", "us", "our"). "You" means the individual or organisation accessing the service.

2. Acceptable use

You may use Struktive for lawful business purposes. You must not:

  • ·Upload files containing personal data of individuals without a lawful basis for processing under applicable data protection law.
  • ·Attempt to reverse-engineer, decompile, or extract the normalisation models, classification rules, or vendor alias database.
  • ·Use the service to process data on behalf of third parties without their knowledge or consent.
  • ·Attempt to circumvent rate limits, access controls, or security measures.
  • ·Upload files containing malware, exploits, or content designed to harm the platform or other users.
  • ·Resell or sublicense access to the platform without a written partner agreement.
  • ·Use automated means to scrape, bulk-download, or extract normalised output beyond what your credit tier permits.

3. Your data

You own your data. Uploading a file to Struktive does not transfer ownership of that data to us. You retain all rights to your uploaded files and the normalised output we produce from them.

Licence to process. By uploading a file, you grant us a limited, non-exclusive, non-transferable licence to process that file for the sole purpose of providing the normalisation service to you. This licence terminates when your raw file is deleted (within 24 hours of job completion).

Your responsibility. You are responsible for ensuring you have the right to upload and process the data you submit. If your file contains personal data, you are the data controller and we act as data processor. Our Privacy Policy governs how we handle personal data.

4. Intellectual property

Platform IP. The Struktive platform, including its normalisation engine, classification models, vendor alias database, location hierarchy parser, and all associated software, is the intellectual property of GeekSpeak Commerce. Nothing in these terms transfers any ownership of platform IP to you.

Output IP. The normalised output files, quality scores, and Compliance Audit Packs produced from your uploaded data are yours. We claim no ownership over the output of processing your data.

Feedback. If you provide feedback, suggestions, or feature requests, you grant us a perpetual, royalty-free licence to use that feedback to improve the platform. We are not obligated to act on any feedback.

5. Credits and payment

Struktive operates on a credit-based model. Credits are pre-purchased and consumed at the rate of one credit per record normalised. Credits do not expire. All prices are in USD and exclusive of applicable taxes.

Payment is processed by Stripe. By purchasing credits, you agree to Stripe's Terms of Service. We do not store your card details.

Refunds. Credits are non-refundable once consumed. Unused credits may be refunded within 14 days of purchase if no processing has occurred. Contact [email protected] to request a refund.

6. Free tier

The free tier allows processing of up to 50 records per job without an account, and up to 50 records per job with an account. Free-tier job results are retained for 90 days. We reserve the right to modify free tier limits at any time with reasonable notice. Free tier use is subject to rate limits to prevent abuse.

7. API access

API access is available under Developer and Partner tiers. API keys are personal and must not be shared. You are responsible for all usage under your API key. We reserve the right to revoke API keys that are used in violation of these terms or that pose a security risk. Rate limits apply to all API tiers as documented.

8. Availability

We aim to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or emergency interventions that temporarily affect availability. We will provide reasonable advance notice of planned maintenance where possible. No SLA is offered under free or standard credit tiers. Enterprise SLA terms are available on request.

9. Limitation of liability

The service is provided "as is". We make no warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of the normalised output. Asset normalisation involves classification decisions that may not be correct in all cases. You are responsible for validating output before use in production systems.

Liability cap. To the maximum extent permitted by law, our total liability to you for any claim arising from use of the service is limited to the amount you paid us in the 12 months preceding the claim, or USD $100, whichever is greater.

Exclusion of consequential loss. We are not liable for any indirect, incidental, special, or consequential damages, including loss of data, loss of revenue, or costs of system migration, even if we have been advised of the possibility of such damages.

10. Termination

You may close your account at any time via account settings. On closure, your job data will be deleted within 30 days, subject to retention obligations (e.g., Compliance Audit Packs retained for 12 months).

We may suspend or terminate your account immediately if you breach these terms, engage in fraudulent activity, or pose a security risk to the platform. We will provide notice where reasonably practicable.

11. Governing law

These terms are governed by the laws of Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Australia, unless you are a consumer located in a jurisdiction where mandatory local consumer protection laws apply.

12. Changes to these terms

We may update these terms from time to time. When we make material changes, we will update the "Last updated" date and, where required, notify you by email. Continued use of the platform after the effective date constitutes acceptance of the updated terms.
